Abstract
With distinct roots and origins, corporate governance and corporate social responsibility (CSR) have evolved more or less in parallel for several decades, with their paths crossing a few times as initiatives that have marked the development of CSR were initially shareholder resolutions at shareholders’ meetings. However, in recent times, these paths are converging and meshing into one another in several respects following legal rulings, the emergence of climate change as a critical societal issue, the advent of ESG investing and the evolution of social norms in our societies. This chapter aims to provide some background underlying current corporate governance and CSR practices as well as the potential tension points that arise as shareholder-focused and stakeholder-based perspectives collide in corporate governance decisions.
